Terms & Conditions

These Terms & Conditions ("Terms") are a binding agreement between you and Bidstrike ("BidStrike," "we," "us," or "our") governing your access to and use of the BidStrike platform at bidstrike.io and its associated application and services (the "Service"). By creating an account or using the Service, you accept these Terms. If you use the Service on behalf of a company, you represent that you have authority to bind that company, and "you" means that company.
1. The Service
BidStrike is a software platform that aggregates publicly available government-contracting opportunities, matches them to your business profile, estimates win probability, generates AI-assisted proposal drafts and reviews, and — where you enable automation — prepares and transmits submissions on your behalf within limits you configure. The Service is a tool. It does not replace your judgment, your legal counsel, or your obligation to comply with the terms of any solicitation you respond to.
2. Accounts and Eligibility
- You must be at least 18 and able to form a binding contract.
- You are responsible for your login credentials and for all activity under your account, including activity by team members you invite.
- Information you provide (including your company profile, certifications, and past performance) must be accurate. AI-generated proposals are built from what you enter — inaccurate inputs produce inaccurate representations to the government, and that responsibility is yours.
3. Plans, Billing, and Renewal
- Free start: limited features (including one complete AI proposal and disabled exports) at no charge. We may adjust free-start limits with notice.
- AutoPilot (monthly): billed monthly at the published rate under a 12-month agreement. Early termination does not refund or waive remaining fees except where required by law.
- AutoPilot+ (annual): billed once, upfront, for a 12-month term at the published discounted rate.
- Renewal: paid subscriptions renew automatically at the end of each term at then-current published rates unless canceled before renewal. We will notify you of material price changes before they apply.
- Taxes: prices exclude applicable taxes, which are your responsibility.
- Refunds: except as expressly stated at purchase or required by law, fees are non-refundable. If you believe you were billed in error, contact us within 30 days.
- Agency-billed accounts: if you pay an Agency rather than us, that Agency's billing terms control your payment relationship; plan activation on the platform follows the Agency's confirmation of payment.
4. Acceptable Use
You agree not to:
- Submit false, misleading, or fraudulent information to any government agency through the Service — including misrepresenting certifications, past performance, or eligibility for set-asides;
- Upload Controlled Unclassified Information (CUI), classified information, ITAR-controlled technical data, or any data you are not authorized to place in a commercial cloud service;
- Use aggregated data from the Service (including contracting-officer contact information) for spam, harassment, or any unlawful marketing;
- Probe, scrape, reverse-engineer, resell, or provide third-party access to the Service except through an authorized Agency arrangement;
- Interfere with the Service's operation or attempt to bypass plan limits, permissions, or approval gates;
- Use the Service in violation of any law, regulation, or solicitation term applicable to you.
We may suspend or terminate accounts that violate this section, with notice where practicable.
5. AI-Generated Content and Automation
- Your responsibility to review. AI outputs — proposals, briefs, scores, reviews, and responses — can contain errors, omissions, or statements that don't reflect your business. You are solely responsible for reviewing, correcting, and approving all content before it is relied upon or submitted to any government agency.
- AutoPilot. Where you enable automated submission, you authorize the Service to prepare and transmit proposals on your behalf within the thresholds, caps, and guardrails you configure. Submissions transmitted by AutoPilot within your settings are deemed made by you. Automated processing is best-effort: you remain responsible for monitoring deadlines and confirming that intended submissions were made.
- Win-probability scores are statistical estimates from public data and your account history. They are not predictions, guarantees, or professional advice.
- No guarantee of award. BidStrike does not and cannot guarantee that you will win any contract, receive any response, or achieve any business outcome.
6. Government Data
The Service aggregates data from public government sources (e.g., SAM.gov, FPDS, USASpending, Grants.gov, state portals). We do not control and are not responsible for the accuracy, completeness, or timeliness of government-published data, and delays or errors in upstream sources may be reflected in the Service. Always verify solicitation details — especially deadlines and submission instructions — against the official source before relying on them.
7. Your Content and Our IP
- Your content is yours. You retain all rights to the content you upload and the proposals generated for your account. You grant us a limited license to host, process, and transmit that content solely to operate the Service (including sending it to our AI provider to produce your outputs, and to the government recipients you direct).
- Our platform is ours. The Service, its software, design, data compilations, and branding are owned by Bidstrike or its licensors. No rights are granted except as expressly stated in these Terms.
- Feedback you send us may be used to improve the Service without obligation to you.
8. Third-Party Services
The Service depends on third-party providers (hosting, database, identity, AI, payments, email — listed on our Security page) and interoperates with services you connect (e.g., your payment funnel or calendar). We are not responsible for third-party services, and your use of them is governed by their own terms.
9. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY ARISING FROM COURSE OF DEALING. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ANY OPPORTUNITY, SCORE, DRAFT, OR SUBMISSION WILL BE ACCURATE, COMPLETE, TIMELY, OR SUCCESSFUL.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW: (A) NEITHER PARTY IS LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES (INCLUDING LOST CONTRACTS OR AWARDS), EVEN IF ADVISED OF THE POSSIBILITY; AND (B) OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE IS LIMITED TO THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM (OR ONE HUNDRED U.S. DOLLARS IF YOU PAID NOTHING). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO PORTIONS MAY NOT APPLY TO YOU.
11. Indemnification
You will defend and indemnify Bidstrike against claims arising from (a) content you submit to or through the Service, including submissions to government agencies; (b) your violation of these Terms or applicable law, including procurement law and solicitation terms; or (c) your violation of third-party rights.
12. Termination
You may stop using the Service and cancel at any time (paid terms per Section 4). We may suspend or terminate the Service or your account for material breach, unlawful use, non-payment, or risk to the platform or other users, with notice where practicable. Upon termination, your right to use the Service ends; Sections 6–15 survive. You may export your proposals before closure (paid plans); we will delete or de-identify your data per the Privacy Policy.
13. Governing Law and Disputes
These Terms are governed by the laws of the State of Florida, United States, without regard to conflict-of-laws principles.
Informal resolution first: before filing any claim, you agree to contact us at legal@bidstrike.io and allow 30 days to resolve the dispute informally.
Arbitration: any dispute not resolved informally will be settled by binding individual arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, governed by the Federal Arbitration Act. You and Bidstrike each waive the right to a jury trial and to participate in a class action. Either party may instead bring an individual claim in small-claims court. The state and federal courts located in Florida have exclusive jurisdiction over any dispute not subject to arbitration, and you consent to their jurisdiction and venue.
14. General
- Changes to these Terms: we may update these Terms; material changes will be announced by email or in-app notice at least 14 days before taking effect. Continued use after the effective date is acceptance.
- Assignment: you may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or asset sale.
- Entire agreement; severability; no waiver: these Terms and the Privacy Policy are the entire agreement between us regarding the Service; if any provision is unenforceable, the rest remain in effect; failure to enforce a provision is not a waiver.
